Terms of Service

1 Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client", "Customer", or "Partner") and AH&V Software Limited ("AH&V", "Company", "we", or "us"), incorporated and operating in India, with international operations through AHV AI LABS LIMITED (New Zealand). By commissioning a project, signing a Statement of Work (SOW), or utilizing our web and mobile engineering services, you agree to these Terms in full.

2 Engineering Services & Scope of Work

AH&V provides custom software engineering services, including but not limited to:

• Cross-platform mobile application development (Flutter / Dart for iOS and Android).
• Full-stack web application development and cloud backend portals (PHP / Laravel 11, Node.js, Next.js, MySQL / PostgreSQL).
• Enterprise ERP, school management, and billing automation systems.
• API integrations, cloud server setup, and technical consulting.

Every project is governed by an agreed written Statement of Work (SOW) or proposal defining project milestones, technical deliverables, delivery timelines, and financial fees. Any work requested outside the agreed SOW will be scoped separately as a Change Request (CR).

3 100% Intellectual Property & Source Code Ownership

Open-source libraries (e.g. Laravel, Flutter packages, MIT/Apache licensed dependencies) remain subject to their respective open-source licenses. AH&V retains no proprietary hold, hidden license fees, or recurring access fees on your custom application.

4 Milestone Billing & Payment Schedules

To maintain strict transparency and protect both parties, project compensation is structured across verifiable milestones:

• Advance Discovery & Architecture: Initial deposit covering software architecture, UI/UX wireframing, and environment setup.
• Staged Development Milestones: Payments triggered upon delivery and demonstration of working features on staging environments.
• Final Release & Deployment: Release payment upon User Acceptance Testing (UAT) clearance and migration to production.

Invoices are issued in Indian Rupees (INR) for Indian domestic engagements (with standard GST compliance), or New Zealand Dollars (NZD) / US Dollars (USD) for international accounts.

5 Post-Launch Warranty & Support SLA

We stand firmly behind the quality of our code:

• 30-Day Free Bug-Fix Warranty: AH&V provides 30 calendar days of complimentary warranty support following production launch to resolve any functional defects or code errors deviating from agreed specifications.
• Ongoing Maintenance: Optional ongoing server maintenance, DevOps monitoring, and feature updates are available via dedicated monthly retainer agreements.

6 Limitation of Liability

AH&V Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from third-party server downtimes (e.g. AWS, DigitalOcean, Cloudflare), third-party API changes (e.g. Google Maps, payment gateways, Apple App Store guideline updates), or client-authorized data losses. In any event, AH&V's aggregate liability under any claim shall not exceed the total fees paid by the client under the specific SOW during the three (3) months preceding the claim.
